The matter later camebeforethe AdministrativeAppealsOffice (AAO) on appeal,which was summarily dismissed.Thepetitionersubsequentlyfiled a motionto reopenandreconsider,whichcausedtheAAO to withdrawits prior decisionandissuea newdecisionaffirmingthedirector'soriginaldenial. Thematteris nowbeforetheAAO ona secondmotionto reconsider.TheAAO will grantthemotion,withdrawits prior decision,andsustainthepetitioner'sappeal. Thepetitioneris a Californiacorporationthatseeksto employthebeneficiaryasits chiefexecutiveofficer. Accordingly,thepetitionerendeavorsto classifythebeneficiaryasanemployment-basedimmigrantpursuant to section203(b)(1)(C)of the ImmigrationandNationalityAct (theAct), 8U.S.C.ยง 1153(b)(1)(C),as a multinationalexecutiveor manager. Thedirectordeniedthepetitionbasedontwo grounds:1)thepetitionerfailedto providesufficientevidence to establishthatthebeneficiarywasemployedabroadin a qualifyingmanagerialor executivecapacity;and 2)the petitionerfailed to establishthat the beneficiarywould be employedin the United Statesin a managerialorexecutivecapacity.Onappeal,counseldisputedthedirector'sdecision. Therecordat thetimeof theappealindicatedthata supportingappellatebrief wasnotsubmittedandthata summarydismissalwaswarrantedbasedonthedeterminationthatthepetitionerfailedtopointto anerrorin theapplicationof lawor astatementof fact. On motion,thepetitioner'sprior counselsubmittedevidenceto establishthat anappellatebrief hadbeen submittedby prior counselandthata full decisionwaswarranted. Afterreviewingthedecision,theAAO determinedthatpriorcounselfailedtoadequatelyaddressthegrounds for denial,thusleadingto thedeterminationthateligibilityhadnotbeenestablished. Thepetitioner'scurrentcounselhassincesubmitteda newbrief in which heproperlyaddressestheprior adversefindingsandthedocumentsuponwhichthedirector,andsubsequentlytheAAO, reliedin making those findings. Despite the ineffective arguments of the petitioner's prior counsel, the petitioner's counsel successfully shedslight on previously submitted evidencethat had been misinterpretedthus leading to the unfavorabledecisionsof thedirector andtheAAO. Section203(b)of theAct statesin pertinentpart: (1) PriorityWorkers.-- Visasshallfirst bemadeavailable. . . to qualifiedimmigrantswho arealiensdescribedin anyof thefollowingsubparagraphs(A) through(C): * * * (C)CertainMultinationalExecutivesandManagers.- An alienis described in this subparagraphif the alien,in the 3 yearsprecedingthe time of the alien'sapplicationfor classificationandadmissioninto the United States underthissubparagraph,hasbeenemployedfor at least1yearby a firm or corporationor otherlegalentityor anaffiliateor subsidiarythereofandwho seeksto entertheUnitedStatesin orderto continueto renderservicesto the Page3 sameemployeror to a subsidiaryor affiliate thereofin a capacitythat is managerialor executive. Thelanguageof thestatuteis specificin limiting thisprovisionto only thoseexecutivesandmanagerswho havepreviouslyworkedfora firm, corporationorotherlegalentity,oranaffiliateor subsidiaryof thatentity, andwhoarecomingtotheUnitedStatesto workfor thesameentity,or itsaffiliateor subsidiary. A United Statesemployermay file a petitionon Form I-140 for classificationof an alienundersection 203(b)(1)(C)of theAct asa multinationalexecutiveor manager.No laborcertificationis requiredfor this classification.Theprospectiveemployerin the UnitedStatesmustfurnisha job offer in the form of a statementwhichindicatesthatthealienis to beemployedin theUnitedStatesin a managerialor executive capacity.Sucha statementmustclearlydescribethedutiesto beperformedby thealien. Thestatutorydefinitionof the term "executivecapacity"focuseson a person'selevatedpositionwithin a complexorganizationalhierarchy,includingmajorcomponentsor functionsof the organization,andthat person'sauthorityto directtheorganization.Section101(a)(44)(B)of theAct, 8 U.S.C.ยง 1101(a)(44)(B). Under the statute,a beneficiary must have the ability to "direct the management"and "establishthe goalsand policies"of thatorganization.Inherentto thedefinition,theorganizationmusthavea subordinatelevelof employeesfor thebeneficiaryto directandthebeneficiarymustprimarily focuson the broadgoalsand policiesof the organizationratherthantheday-to-operationsof theenterprise.An individualwill not be deemedanexecutiveunderthestatutesimplybecausetheyhaveanexecutivetitle orbecausethey"direct"the enterpriseastheowneror solemanagerialemployee.Thebeneficiarymustalsoexercise"widelatitudein discretionarydecisionmaking" and receiveonly "generalsupervisionor direction from higher level executives,theboardof directors,or stockholdersof theorganization."Id. Counselin the presentmatterhas thoroughlyaddressedthe AAO's adversefindingsand hasprovided sufficientcauseshowingthat suchfindingsshouldbewithdrawn. TheAAO findsthat thepetitionerhasmet its burdenof proof,establishingthatit is morelikely thannotthatthebeneficiarywasemployedabroadand thathewouldbeemployedin theUnitedStatesin a qualifyingmanagerialor executivecapacity. TheAAO hasconducteda comprehensivereviewof thepetitioner'srecordandfindsno othergroundsfor denyingtheinstantpetition. In visapetitionproceedings,theburdenof provingeligibility for thebenefitsoughtremainsentirelywith the petitioner. Section291of the Act, 8 U.S,C.ยง 1361. Thepetitionerin the instantcasehassustainedthat burden. ORDER: Themotionis granted,thepreviousappealis sustained,andthepetitionisapproved.
