1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Aidadev, LLC ("Company," "we," "us," or "our") regarding your access to and use of the MeritDraft website and platform (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

3. Description of Service

MeritDraft is an AI-powered document drafting platform that assists users in generating O-1A visa support letter drafts. The Service provides:

• AI-assisted drafting of immigration support letters
• Document upload and processing capabilities
• Export functionality for generated documents
• User account management

The Service is intended to provide a starting point for document preparation. All output requires human review, verification, and professional legal guidance before use.

4. User Accounts

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Promptly update your account information as needed
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Submit false, misleading, or fraudulent information
• Infringe upon the rights of others
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Use the Service for any illegal immigration-related purpose

6. Fees and Payment

Certain features of the Service require payment. By selecting a paid plan, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide valid payment information
• Authorize us to charge your payment method for recurring subscriptions

All fees are non-refundable except as expressly stated in these Terms or required by law. We reserve the right to modify pricing with 30 days' notice for subscription plans.

7. Intellectual Property

Our Property: The Service, including its original content, features, and functionality, is owned by Aidadev, LLC and is protected by intellectual property laws.

Your Content: You retain ownership of any documents, data, or materials you upload to the Service ("User Content"). By uploading User Content, you grant us a limited license to process and store such content solely to provide the Service.

Generated Documents: Documents generated through the Service are owned by you. However, we retain rights to the underlying templates, algorithms, and systems used to generate such documents.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS.

WE EXPRESSLY DISCLAIM ANY WARRANTY THAT:

• The Service will meet your specific requirements or expectations
• The Service will be uninterrupted, timely, secure, or error-free
• Any content generated by the Service will be accurate, complete, current, or reliable
• Any content generated will result in visa approval or any particular outcome
• The Service constitutes or substitutes for legal advice
• Any legal citations, case references, or regulatory information will be accurate or current
• The Service will comply with the specific requirements of USCIS or any government agency

YOU ACKNOWLEDGE THAT YOU HAVE BEEN ADVISED TO OBTAIN INDEPENDENT LEGAL COUNSEL AND THAT YOUR RELIANCE ON THE SERVICE IS AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AIDADEV, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES ARISING FROM VISA DENIAL, REQUESTS FOR EVIDENCE, OR OTHER ADVERSE IMMIGRATION OUTCOMES
• DAMAGES ARISING FROM ERRORS, INACCURACIES, OR OMISSIONS IN GENERATED CONTENT
• DAMAGES ARISING FROM YOUR RELIANCE ON THE SERVICE OR ANY CONTENT GENERATED THEREBY
• DAMAGES ARISING FROM DELAYS, INTERRUPTIONS, OR FAILURES OF THE SERVICE
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA

THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

MAXIMUM LIABILITY: OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

10. Indemnification

You agree to defend, indemnify, and hold harmless Aidadev, LLC and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorneys' fees and costs) arising from or related to:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any rights of any third party
• Any User Content you upload, submit, or transmit through the Service
• Any documents you submit to USCIS or any government agency that were generated using the Service
• Any claims that content generated by the Service infringes or misappropriates the intellectual property or other rights of any third party
• Any misrepresentations made in documents submitted using Service-generated content

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and User Content
• Provisions that by their nature should survive will remain in effect

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Informal Resolution: Before initiating any formal dispute proceeding, you agree to first contact us at legal@meritdraft.com and attempt to resolve the dispute informally for at least thirty (30) days.

Binding Arbitration: If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware, or another mutually agreed location.

CLASS ACTION WAIVER: YOU AND AIDADEV, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Jury Trial Waiver: YOU HEREBY WAIVE ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE.

Time Limitation: Any claim or cause of action arising from or related to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent. If modification is not possible, such provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Aidadev, LLC regarding the Service and supersede all prior agreements and understandings, whether written or oral.
